These Royalty Program Terms govern your participation as a Marketing Partner in the StackPilot App Royalty Program operated by Hayanlabs (Sarvadhari Residency, Bagawan Colony, Road No. 5, Kapra, Hyderabad, Telangana, India; PAN: AATFH2428J; GSTIN: 36AATFH2428J1Z0). By submitting an application or accepting an invitation to the Royalty Program, you agree to these Terms.
Note: The Royalty Program is distinct from our Referral Program. The Referral Program rewards individual users with non-cash account credits for word-of-mouth referrals. The Royalty Program is for vetted marketing partners who actively promote StackPilot App in exchange for cash commissions.
Eligibility
- The Royalty Program is invite-only or admin-approved at our sole discretion.
- You must be at least 18 years old, have legal capacity to enter into this agreement, and be able to receive payment via one of our supported payout methods.
- Employees, contractors, or immediate family of Hayanlabs are not eligible.
Independent Contractor Relationship
You participate as an independent contractor. Nothing in these Terms creates an employment, agency, joint-venture, or franchise relationship between you and Hayanlabs. You have no authority to bind Hayanlabs, and you are solely responsible for your own business expenses, taxes, and statutory obligations.
Partner Code & Tracking
- On approval, you receive a unique partner code that is appended to your referral link and stored in the visitor's browser via our
sp_refcookie (30-day attribution window). See our Cookie Policy. - The partner code remains the property of Hayanlabs. You must not share, sell, or sub-license it.
- If the user clears cookies, uses a different browser/device, or completes the purchase more than 30 days after the click, the referral may not be tracked.
Commission Structure
- You earn commission on first-time purchases of a StackPilot App Plan made by a new customer who arrives through your tracked referral link within the attribution window.
- The commission percentage is the one published in your partner dashboard at the time of the qualifying purchase. We may change commission rates prospectively with reasonable notice; changes do not affect commissions already in the "Pending" or "Approved" state.
- Commission base. Commission is calculated on the net Plan price actually received by Hayanlabs, that is:
- EXCLUDING any indirect taxes (GST, VAT, sales tax) collected from the customer;
- EXCLUDING the payment-processor fee (Razorpay / PayPal) deducted on the transaction;
- EXCLUDING any discount, coupon, credit, or referral-points redemption applied at checkout;
- EXCLUDING any add-on, upgrade fee, or one-off charge that is not part of the headline Plan price (unless we expressly state otherwise for a specific promotion).
Commission Lifecycle & Holding Period
Each commission event moves through the following states:
- Pending - created when the qualifying purchase is recorded.
- Approved - after the 14-day customer refund window (Section 1 of our Refund Policy) plus our 14-day administrative review = a 28-day holding period from the purchase date, provided no refund or chargeback has occurred.
- Payable - once your Approved balance reaches the minimum payout threshold of USD 100 (or equivalent in your payout currency).
- Paid - once the payout has been successfully disbursed to your nominated payout account.
- Cancelled - if the original purchase is refunded, charged back, or otherwise reversed; or if the commission is voided under Section 9 (Prohibited Activities).
Payouts
- Payouts are requested manually from your partner dashboard once your Approved balance reaches USD 100.
- Supported payout methods:
- Razorpay (worldwide) - bank transfer, UPI (India), or other locally supported methods Razorpay offers for your country.
- PayPal - United States partners only.
- Payouts are processed in USD unless agreed otherwise. Currency conversion and remittance fees charged by your payout provider or bank are borne by you.
- You are responsible for ensuring the accuracy of your payout details. Hayanlabs is not liable for funds lost due to incorrect or outdated payment information you provided.
Chargebacks & Distribution Clawback
To protect Hayanlabs' cash flow and avoid net-negative payouts:
- If a customer's purchase is refunded (within the 14-day window) or charged back / disputed via Razorpay, PayPal, the customer's card issuer, or any other channel - at any time, including after the 28-day holding period - the associated commission is marked as Cancelled and is no longer payable.
- If the commission has already been paid to you when the reversal occurs, the equivalent amount becomes immediately due back to Hayanlabs and will be deducted from your next payout. If you have no further payouts due, Hayanlabs may invoice you for the amount, payable within 30 days.
- This applies regardless of who initiates the reversal (customer, processor, bank, or regulator) and regardless of the reason.
- Hayanlabs may withhold a portion of Approved commissions on a rolling basis as a reserve against expected chargebacks, the size of which is published in your partner dashboard and may be adjusted based on historical refund / chargeback rates of customers acquired through your code.
Taxes
- You are solely responsible for all taxes, levies, and statutory contributions applicable to commissions paid to you in your country of tax residence.
- Hayanlabs may request tax-related documentation before issuing payouts, including a PAN (Indian partners), W-8BEN (non-U.S. partners), or W-9 (U.S. partners), and may withhold payment until such documentation is provided.
- Where Hayanlabs is required by Indian law to deduct tax at source (TDS) or to collect GST on commissions, those deductions / charges will be reflected in your payout statement.
Prohibited Activities
You may NOT:
- Self-refer (use your own code on your own purchases) or arrange for a related party to do so;
- Bid on the keywords "StackPilot", "StackPilot App", "Laravel", "Laravel Forge", "Ploi", "Hayanlabs", or any other third-party brand name or registered trademark in paid search advertising to promote StackPilot App;
- Make false, misleading, or unsubstantiated claims about the Software, its features, or its competitors;
- Engage in spam, unsolicited email, or any practice that violates the CAN-SPAM Act, India's TRAI regulations, the EU ePrivacy Directive, or any equivalent law;
- Use cookie-stuffing, iframes, automated traffic, click farms, or any other deceptive method to attribute a referral to your code;
- Promote StackPilot App in association with content that is illegal, infringing, hateful, sexually explicit, or otherwise harmful;
- Imply or claim that you are an employee or official representative of Hayanlabs.
Affiliate-Disclosure Obligation
Where you promote StackPilot App in a public-facing channel (blog post, video, social-media post, newsletter, podcast, etc.), you must clearly and prominently disclose your participation in the Royalty Program in the manner required by the law of your audience's location, including:
- The U.S. FTC's "Guides Concerning the Use of Endorsements and Testimonials in Advertising";
- The UK Advertising Standards Authority's CAP Code;
- Comparable laws in your jurisdiction.
A simple, conspicuous statement (e.g., "I earn a commission if you buy through this link") is sufficient.
Confidentiality
Information about commission rates that are specific to you, internal partner-program performance data, pre-release product information, and other non-public information shared with you in your partner capacity is confidential and may not be disclosed to third parties without our prior written consent.
Inactive Accounts & Unclaimed Earnings
If your partner account has no qualifying activity (clicks, conversions, or payout requests) for twelve (12) consecutive months, we may deactivate the account and freeze the unclaimed balance. We will attempt to contact you at the email on file at least 30 days before deactivation. Unclaimed balances are forfeited if you do not respond within twelve (12) months of deactivation, except where applicable unclaimed-property law requires a longer holding period.
Termination
We may terminate your partner status and void all Pending or Approved-but-Unpaid commissions, in whole or in part, for any violation of these Terms or any fraudulent, deceptive, or illegal activity. We may also terminate the Royalty Program as a whole on 30 days' notice; in that case, Approved-but-Unpaid commissions earned prior to termination remain payable, subject to Section 7 (clawback).
Changes
We may modify these Terms or the commission structure at any time. Material changes will be communicated by email and reflected on this page at least 14 days before they take effect. Continued participation after that date constitutes acceptance.
Governing Law & Disputes
These Terms are governed by the laws of India. Disputes are resolved as set out in Section 20 of the Terms and Conditions (arbitration seated in Hyderabad).
