These Terms and Conditions ("Terms") form a binding agreement between you ("you", "User") and Hayanlabs, a partnership firm registered under the Indian Partnership Act, 1932, with principal place of business at Sarvadhari Residency, Bagawan Colony, Road No. 5, Kapra, Hyderabad, Telangana, India (PAN: AATFH2428J, GSTIN: 36AATFH2428J1Z0) ("Hayanlabs", "we", "us"). By creating a StackPilot App account, purchasing a licence, or otherwise using the Site or the Software, you accept these Terms in full.
Service Description
StackPilot App is a desktop application for server provisioning, deployment, and lifecycle automation. The Software is installed and run on the User's own computer. All commands are executed from the User's device against the User's own servers and third-party accounts.
Acceptance & Clickwrap
You accept these Terms when you (a) tick the "I agree to the Terms, Privacy Policy and EULA" box during account creation or checkout, (b) click any button presented as an acknowledgement of these Terms, or (c) install, launch, or continue to use the Software after the date these Terms are first presented. We record the document version and the date of your acceptance.
Eligibility & Age
You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. The Software is not directed to minors. If you are using the Software on behalf of an organisation, you represent that you have authority to bind that organisation.
Account & User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- Your servers, infrastructure, and any third-party accounts (cloud, Git, DNS, etc.) you connect to the Software;
- All commands executed via the Software, including provisioning, deletion, and configuration commands;
- Backups, monitoring, and disaster recovery of your own systems;
- Compliance with applicable law in your use of the Software.
Licensing & Device Restrictions
- Licences are granted under the End User Licence Agreement and are tied to specific devices and/or seats.
- We use IP address and device identifiers solely for seat enforcement; see our Privacy Policy.
- Sharing, sub-licensing, reselling, or technically bypassing licence enforcement is strictly prohibited and is a material breach of these Terms.
Acceptable Use
Your use of the Software is also governed by our Acceptable Use Policy. You must not use the Software to host, distribute, or facilitate illegal content, malware, unauthorised scanning or intrusion, infringement of intellectual property, or any activity that violates applicable law.
Feature Access & Add-ons
- Features are limited to the plan and add-ons you have purchased.
- New features, modules, or major versions released after your purchase may require an additional payment, as further described in the EULA.
- No automatic entitlement to future premium features is implied.
Payments, Taxes & Currency
- Prices are stated on the Site and may be displayed in your local currency based on IP-based geolocation. The currency of record for a transaction is shown at checkout.
- Payments are processed by our payment partners: Razorpay (worldwide) and PayPal (United States customers only). Card and payout data is handled by those partners under their own terms.
- All prices are exclusive of applicable indirect taxes (GST, VAT, sales tax) unless stated otherwise. Tax is added at checkout where we are required to collect it.
- You authorise Hayanlabs and our payment partners to charge the payment method you provide for the amount displayed at checkout (including any applicable taxes).
- If a payment is reversed, charged back, or refunded after a licence has been activated, we may suspend or revoke the affected licence and any associated royalty rewards.
- Prices may change with reasonable advance notice; price changes do not affect already-paid licences for the period purchased.
Refunds
Refunds are governed by our Refund Policy. The Refund Policy is incorporated by reference into these Terms.
Commercial & Client Use
You may use the Software for client and agency work, subject to:
- A valid licence for each user / device that operates the Software;
- Sole responsibility for client outcomes, deployment success, and uptime;
- The prohibition on reselling the Software itself (you may resell services performed using the Software).
Intellectual Property
The Software, the Site, the StackPilotApp name, marks, logos, and all related materials are the exclusive property of Hayanlabs. No rights are granted to you other than those expressly set out in the EULA. You may not remove, alter, or obscure any proprietary notices.
User Submissions & Feedback
If you send us suggestions, ideas, bug reports, or other feedback via the Feedback form, email, or otherwise, you grant Hayanlabs a perpetual, irrevocable, worldwide, royalty-free, sub-licensable licence to use, reproduce, modify, and incorporate that feedback into the Software without obligation to you.
Third-Party Services
The Software interacts with third-party services (cloud providers, Git hosts, DNS, etc.) selected by you. Your relationship with those providers is governed by their own terms; Hayanlabs is not a party to those agreements and is not responsible for their performance.
No Warranty
The Software and the Site are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. You use the Software at your own risk.
Limitation of Liability
To the maximum extent permitted by applicable law: (a) Hayanlabs shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of revenue, profits, business, data, or goodwill; (b) Hayanlabs shall not be liable for server downtime, data loss, misconfiguration, or any damage caused to systems, networks, or third-party services as a result of commands executed through the Software; and (c) the aggregate liability of Hayanlabs for any claim arising from or related to these Terms or the Software shall not exceed the total fees you paid to Hayanlabs for the Software in the twelve (12) months immediately preceding the event giving rise to the claim. Where the EULA caps liability at the amount paid for the licence, the EULA cap prevails for matters within its scope; otherwise this Section 15 controls.
Indemnification
You agree to indemnify, defend, and hold harmless Hayanlabs, its partners, employees, and contractors from and against any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or related to (a) your use or misuse of the Software, (b) your breach of these Terms, the EULA, the AUP, or applicable law, or (c) any content, command, or configuration you cause to be executed via the Software.
Suspension & Termination
- You may stop using the Software and request closure of your account at any time by emailing contact@stackpilotapp.com. Fees already paid are non-refundable except as set out in the Refund Policy.
- We may suspend or terminate your access (with or without prior notice) for material breach of these Terms, the EULA, the AUP, payment failure or chargeback, suspected fraud, or where required by law.
- On termination, the licence terminates immediately and you must stop using the Software. Sections that by their nature should survive termination (Payments due, IP, Liability, Indemnity, Disputes, Governing Law) survive.
Export Controls & Sanctions
You may not access, download, or use the Software if you are located in, or are a national or resident of, any country or region subject to a comprehensive export ban under Indian, U.S., or EU law, or if you are listed on any restricted-party list (such as the OFAC SDN list). You represent that you are not such a person.
Force Majeure
Neither party shall be liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, epidemic, internet failure, DDoS attack, or third-party service failure.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to the arbitration provision below, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction.
Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Hyderabad, India. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties. The award shall be final and binding and may be enforced in any court of competent jurisdiction.
Order of Precedence & Entire Agreement
These Terms, together with the documents incorporated by reference (EULA, Privacy Policy, Cookie Policy, Refund Policy, Acceptable Use Policy, and, where applicable, the Royalty Program Terms, Referral Program Terms, DPA, and Sub-processor list), constitute the entire agreement between you and Hayanlabs. In case of conflict, the order of precedence is: (1) any signed written agreement we enter into with you; (2) the EULA, for matters within its scope; (3) these Terms; (4) other policies in the order they are referenced.
Severability & Waiver
If any provision is held invalid or unenforceable, the remaining provisions remain in force. No failure or delay by Hayanlabs in exercising any right shall operate as a waiver of that right.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, restructuring, or sale of substantially all our assets.
Notices & Changes to Terms
We may amend these Terms from time to time. Material changes will be announced on the Site and, where required by law, by email at least 14 days before they take effect. Your continued use of the Software after that date constitutes acceptance of the revised Terms. Past versions are available on request from legal@stackpilotapp.com (forwards to contact@stackpilotapp.com until a dedicated mailbox is provisioned).
